Our Corporate Lawyers are knowledgeable in dealing with the details of corporate affairs, including incorporating companies, shareholder agreements, and many other related services.

There are many issues to consider when starting your own company:

• What will you name it?
• How will it be structured?
• Will it be incorporated?
• What are the legal implications

There are advantages and disadvantages to incorporate. On the plus side, you will have limited liability, possible tax advantages if you qualify for a small business tax rate, specialized management structures, and the ownership of the company is transferable.

In addition, it can be easier to raise capital and easier to bring in new shareholders, income splitting opportunities, and you will have the ability for sole shareholders to be employees of their own corporation and qualify for WCB, just to mention a few.

On the other hand, corporations are regulated, there are legal and accounting costs to incorporate, record keeping, and personal guarantees may undermine some of the limited liability advantages.

The Law Clinic’s Corporate Solicitors are qualified and approved to provide all corporate registry services provided under the Alberta Corporate Registry from the basics to the most complex matters. We are also experienced in preparing and reviewing Shareholder Agreements.

We would be pleased to meet with you and provide in a timely and competent manner your corporate legal services at a fair cost.
